Schedule 3 Implementation Services

 Implementor ” Implementor is a person or group of persons assigned by Provider or its affiliates to help configure and setup the Platform with specific rules, information and workflows so that it is usable to you according to their requirements. They also provide training to the end users of the Platform. This service is referred to as Implementation   Services

The Scope of Work ( SOW ) shall be mentioned in the Implementation Section of the proposal. Requirements and Modules to be implemented shall be mentioned in the Requirements section of the proposal. Provider agrees to provide services in accordance with system requirements and architecture to meet the requirements mentioned in the proposal.


1.  Responsibilities

The Implementor is not responsible to make the Platform defect free. All attempts by Implementor are towards making the Platform usable in a reasonable way as per SOW. Implementor shall counsel you regarding the manner in which Provider’s similarly-situated clientele in similar industries have implemented the Platform.  Provider acknowledges that you intend to place great reliance on the Implementor’s counsel and recommendations in making decisions regarding the manner in which the Platform will be adopted and integrated with you’s existing software systems.  In light of this you accept that he will follow the Implementor’s counsel regarding any hardware or software requirements to run the Platform.


2.  Status and Management Reports

Implementor shall provide timely and accurate status and progress reports to you about the project. These records shall be maintained online in electronic form and can be requested by you as well. yous shall be notified in case there will be any changes to Project execution plan from the planned approach.


3.  Data sharing

You shall provide as and when required the data required to setup and configure the platform. Failure to provide the same in a timely manner or accurate way can lead to project delays.


4.  Change Order Process

You can request for a change in planned Platform usage or a change in implementation process. These changes may impact the scope and effort of the project and hence the duration of the project schedule. This will be evaluated and communicated by the Implementor.

5.  Deliverable Acceptance Process

Deliverables prepared by Implementor shall have the written or implicit approval from you or your designated persons. It is assumed that within 2 days of delivery of a deliverable the deliverable shall be reviewed and accepted by you. Unless there is a problem, other processes and phases of the projects shall continue in parallel. Unless specifically rejected in writing all deliverables will be considered as accepted. If you notify Implementor that you have rejected the Deliverable within the applicable Acceptance Period, Implementor shall begin to remedy the deficiency as soon as feasible and shall work diligently and continuously thereafter to correct the deficiency in order for such Deliverable to conform, in all material respects with the applicable agreed criteria or industry standard practices.  


6.  Payments

All payments for projects are basis man-hours and only prepaid packs can be used for implementation. Hence all man-hours need to be paid for in advance. In case of consumption of a pack is fully done and no further pack is purchased, the project will come to a halt. Hence it is encouraged that you always have some buffer remaining in the pack purchased.

Payments towards Expenses can be done anytime once incurred as requested by the Provider.
Any unused implementation man-hours may be utilized towards chargeable support incidents post completion or during the implementation project.


7.  Implementor reassignment / Change

Resources (Implementor) is allocated at the planning stage for a project but in case a project gets delayed beyond any reasonable time, the Implementor can be changed or reassigned to some other work. you may ask for upto 1 change in Implementor if he is not satisfied with the performance or communication of an Implementor but if all Implementors of Provider are occupied then you will need to wait till a suitable Implementor can be assigned to the project.

8.  Termination

You may terminate a Project any time by providing 7 days written notice. Any unconsumed hours or unused subscriptions or software licenses paid for will not be refunded. Hence existing software/ or services purchased shall be continued till mutually agreed.
